Brand identity is more than just a logo, particularly when it comes to web. We'll even offer the unpopular opinion that a logo is often the least important visual component of a stellar website. This offering was created in response to a clear need for clients who were coming to us with outdated, lackluster, or incomplete/non-existent typographic elements.
In one week, we will deep dive into the atmosphere of your brand and overhaul the typographic components of your branding through the lens of psychology (yes, type psychology is a thing).

Purpose of the Agreement
This Client enters into this contract to hire agency, Lottie May LLC dba Soiree Studio (“the Designer”), a North Carolina limited liability company, to complete the "Services."
I. Services
1. Scope of Work
In this Agreement, "Services" refers to the scope of work listed below and on a one-time basis:
- 1 hour Project Kickoff call
- Typography curation (3-4 fonts)
- Font licenses for web
- Mini brand guidelines (specific to typography)
- Two directions to choose from and up to 2 revisions of chosen direction
The Designer acknowledges that additional work outside of the Scope of Work listed may arise before, during, or after the project. Due to the tight timeline, any additional requests will need to be handled as a separate project or booked for a future date.
2. Changes in ScopeScope of work is limited to what is listed, any additional work outside of the "Services" stipulated in the Contract will require a new agreement and scheduling. The Client will be notified and must approve in writing (via email) any additional services before they will be performed. These services may be scheduled and invoiced separately.
3. Rounds of RevisionsClient is entitled to 2 round of rounds of revisions within the 1-week project timeline.
II. Project Schedule
The Designer will begin work on the agreed-upon Project Start Date and the work shall continue for a total of 5 business days. This agreement can be ended or rescheduled by either Client or Designer at any time, pursuant to the terms of this agreement. Client fully understands that prompt feedback is essential to completing the project on time. Client must respond to all requests within the same business day to ensure timely completion. If the Client fails to provide necessary feedback, the Designer reserves the right to proceed with the project based on the latest provided information or reschedule the project as per the terms of this agreement.
III. Cost, Fees, and Payment
Client agrees to pay the Designer $1,750 for the total cost of services listed in this agreement.
1. Refunds and ChargebacksThe Designer will not issue refunds for work or services already rendered under any circumstances. In the event that the Client is not satisfied with the work product, the Client agrees to collaborate with the Designer to seek a mutually agreeable solution before taking any formal action. The Client further agrees not to initiate credit card chargebacks for any reason. Should a chargeback be initiated, the Client will be responsible for any fees, charges, or penalties incurred by the Designer as a result.
IV. Client Responsibilities
1. Assets and Access
Client agrees to provide the following prior to starting the project on (The “Project Start Date”):
- Carefully review and sign this Agreement;
- Schedule and carry out the Project Kickoff Call;
Client agrees to promptly respond within the same business day to Designer's questions and requests throughout the 5-day project to ensure timely completion. In the event that Client does not respond within the agreed timeframe, it is within the Designer's discretion to proceed with the project based on the latest provided information or reschedule based on the "Cancellations and Rescheduling" section.
3. Proofing & ApprovalsIt is Client’s sole responsibility to adequately examine all work produced during the project and provide thoughtful and thorough feedback. Client agrees to ensure that work is accurate and free of errors. The Designer will make best efforts to prevent errors and omissions in the design process. Approval of each deliverable is final, and any major changes may require a reassessment of the project scope and cost due to the limited project timeline.
V. Ownership & Licenses
1. Assignment of CopyrightUntil the project is paid in full, The Designer retains all rights to the final work created. The Designer hereby grants the Client full ownership of the work product once the Client pays for it in full.
2. Portfolio Release and CreditClient agrees that The Designer has the right to use materials created pursuant to this Agreement for The Designer’s portfolio, samples, and self-promotion, including advertising for The Designer’s business on social media platforms such as Pinterest or Instagram. In the event Client wishes to exclude some specific materials from the release under this paragraph, or to limit the time period of such release, The Designer and Client may agree in writing to such limitation.
VI. Confidentiality
1. Non-Disclosure of Confidential InformationParties agree to: (i) Hold in confidence and not disclose or use any Confidential Information (as defined below); (ii) Not make copies of any Confidential Information or any content unless requested to do so by the Client; (iii) Use Confidential Information solely for the purposes of carrying out obligations as described in this Agreement. “Confidential Information” means any information, technical data, or know-how, including, but not limited to, all IP, business information, financial data, trade secrets, and any other information intended to be confidential or proprietary.
VII. Cancellations and Rescheduling
1. Term and TerminationThis Agreement shall last from the date of execution to the completion of the Services as described herein. The Client has the right to cancel this contract within 7 calendar days from the date of purchase to receive a full refund of the deposit. If the Client wishes to cancel after 7 calendar days, the following cancellation terms apply:
- If the Client cancels at least 2 months before the Project Start Date, 75% of the deposit cost will be refunded.
- If the Client cancels at least 1 month before the Project Start Date, 65% of the deposit cost will be refunded.
- If the Client cancels within 1 month of the Project Start Date, 50% of the deposit cost will be refunded.
- If the Client cancels on or after the Project Start Date, no refund will be issued. However, in the event of an emergency, the Client may reschedule their start date in accordance with the Rescheduling Policy.
The Designer reserves the right to terminate this Agreement if the Client fails to adhere to the terms outlined in this Agreement, including but not limited to, failure to provide necessary assets or timely feedback. Upon such notice of termination by the Designer, any outstanding fees for work performed up to the point of termination are immediately due and payable to the Designer. The Designer may withhold any deliverables until such payment is made in full.
2. ReschedulingIf the Client needs to reschedule the project, they may do so without incurring a fee, provided the request is made at least 30 days before the Project Start Date. Requests to reschedule within 30 days of the start date may incur a $150 rescheduling fee. If the project is rescheduled more than twice, the Designer reserves the right to cancel the project and issue a refund for 50% of the total service cost.
VIII. General Provisions
1. AssignmentThis Contract applies only to the Client and the Designer. Neither Party may assign any of its respective obligations under this Agreement without the express written consent of the other Party. This is a binding Agreement that incorporates the entire understanding of the Parties.
2. Handling of DisputesThe Parties agree that any dispute regarding this Agreement, and any claim made by Client for return of monies paid to the Designer, shall be handled in accordance with the laws of North Carolina. Specifically, if Client cancels credit card payments after the three-day cancellation period permitted by law and outlined in this Agreement, this Agreement is immediately terminated, and the Designer reserves the right to dispute such cancellation and pursue Client for monies owed to the Designer for services already performed but unpaid by Client due to such credit card cancellation.
3. Force MajeureEither party may invoke Force Majeure to excuse the failure to perform its obligations, if such failure was caused by: acts of God, strikes, government restrictions, communicable diseases, epidemics, pandemics, natural disasters; or failure of suppliers, subcontractors, and carriers to substantially meet their performance obligations, or other causes reasonably beyond control.
SignaturesThis Agreement shall be signed by both Parties agreeing to the terms laid out above. This Agreement is effective upon our signatures as of the day and date first above stated. The Parties agree that a facsimile copy (electronic copy) of this Agreement, which contains the Parties’ signatures, may be used as the original.

The Client has the right to cancel this contract within 7 calendar days from the date of purchase to receive a full refund of the deposit. If the Client wishes to cancel after 7 calendar days, the following cancellation terms apply:
- If the Client cancels at least 2 months before the Project Start Date, 75% of the deposit cost will be refunded.
- If the Client cancels at least 1 month before the Project Start Date, 65% of the deposit cost will be refunded.
- If the Client cancels within 1 month of the Project Start Date, 50% of the deposit cost will be refunded.
- If the Client cancels on or after the Project Start Date, no refund will be issued. However, in the event of an emergency, the Client may reschedule their start date in accordance with the Rescheduling Policy.
The Designer reserves the right to terminate this Agreement if the Client fails to adhere to the terms outlined in this Agreement, including but not limited to, failure to provide necessary assets or timely feedback. Upon such notice of termination by the Designer, any outstanding fees for work performed up to the point of termination are immediately due and payable to the Designer. The Designer may withhold any deliverables until such payment is made in full.
2. ReschedulingIf the Client needs to reschedule the project, they may do so without incurring a fee, provided the request is made at least 30 days before the Project Start Date. Requests to reschedule within 30 days of the start date may incur a $150 rescheduling fee. If the project is rescheduled more than twice, the Designer reserves the right to cancel the project and issue a refund for 50% of the total service cost.
VIII. General Provisions
